Terms of Service

1. Acceptance of Terms

By accessing or using the ISPChamp platform ("Service"), you agree to be bound by these Terms of Service. The Service is provided by KaritKarma Limited ("Company", "we", "us"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Service Description

ISPChamp is a multi-tenant ISP management platform providing subscriber management, billing, AAA/RADIUS, OLT management, IPAM, and optional software BNG (vBNG) services. The Service is provided on a subscription basis as described in the applicable pricing plan.

3. Account Responsibilities

• You are responsible for maintaining the security of your account credentials
• You must provide accurate and complete information during registration
• You are responsible for all activities that occur under your account
• You must comply with all applicable laws and BTRC regulations when using the Service
• You must not use the Service to process data for illegal activities

4. Subscriber Data

You retain ownership of all subscriber data processed through ISPChamp. We process subscriber data solely as instructed by you and in accordance with our Privacy Policy. You are responsible for ensuring that your collection and use of subscriber data complies with applicable laws, including BTRC regulations for NID verification and data retention.

5. Payment Terms

Subscription fees are billed monthly in advance in Bangladeshi Taka (BDT). Payment is due within 15 days of invoice date. Late payments may result in service suspension after a 7-day grace period with notice. All fees are exclusive of applicable taxes (VAT at prevailing rate).

6. Service Level

We target 99.9% uptime for the SaaS platform (excluding scheduled maintenance). The vBNG component runs on customer-provided hardware and its availability depends on the customer's infrastructure. Scheduled maintenance windows are communicated at least 48 hours in advance.

7. Limitation of Liability

To the maximum extent permitted by law, KaritKarma Limited's liability for any claims arising from the Service shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or data loss.

8. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination, we will provide a full export of your data in standard formats within 30 days. Data is retained for 90 days after termination before permanent deletion, unless longer retention is required by law.

9. Governing Law

These terms are governed by the laws of Bangladesh. Any disputes shall be resolved through arbitration in Dhaka under the Arbitration Act of Bangladesh.
